DEED OF AGREEMENT FOR SALE

This DEED OF AGREEMENT FOR SALE is made on this the [DATE] day of [MONTH] [YEAR], at [DISTRICT, STATE].


BETWEEN

[NAME OF THE VENDOR] son of [FATHER'S NAME OF VENDOR] by religion [___], a resident of [FULL ADDRESS OF THE VENDOR], Assam hereinafter called the PROPOSED VENDOR (which expression unless repugnant to the context hereto shall mean and include all of their heirs, successors, assigns, agents, administrators, executors, agents etc.) of the ONE PART.


AND

[NAME OF THE PURCHASER] son of [FATHER'S NAME OF PURCHASER] by religion [___], a resident of [FULL ADDRESS OF THE PURCHASER], hereinafter referred to as the PROPOSED PURCHASER (which expression unless repugnant to the context hereto shall mean and include all of his heirs, successors, assigns, agents, administrators, executors, agents etc.) of the OTHER PART.


WHEREAS, the PROPOSED VENDOR is the absolute lawful owner of a plot of land measuring 0B - 1K - 5.00 Ls (equivalent to 3,607.00 sq. ft.) under Dag No. [____], covered by P.P. No [___] situated at [LOCATION OF THE SALEABLE LAND], [______] Mouza, Within [_____] Revenue Circle, District [______] [STATE] (hereinafter referred as said land), as fully detailed in the schedule below.


AND WHEREAS, the PROPOSED VENDOR has proposed to sell the said land for a total consideration amount fixed @ Rs. ______/- per sq. Ft for the total area of the SAID LAND, for which the PROPOSED PURCHASERS have also agreed to purchase the said land at the said consideration.


AND WHEREAS, the PROPOSED PURCHASER has paid an amount of Rs. 00,00,000/- (_____ Lakhs) only, which is further elaborated upon in the memo mentioned herein below, as advance Consideration out of the said total consideration amount of the SAID LAND, to the PROPOSED VENDORS, the receipt of which the PROPOSED VENDORS doth hereby admit and acknowledge.


AND WHEREAS, with a view to avoiding misunderstanding and/or disputes, the terms and conditions agreed between the parties are reduced into writing.


NOW THIS DEED OF AGREEMENT IS WITNESSED AS FOLLOWS: -

  1. That, the value of the land as detailed in the Schedule below is fixed at Rs. _____ per sq. ft only for the total area of 0 Bigha 1 Katha 5.00 Lessas Sq. ft and the PROPOSED VENDOR have agreed to sell out and the PROPOSED PURCHASERS have agreed to purchase the said landed property at the said consideration; and an amount of Rs. 00,00,000 (Rs. _____ Lakhs)/- only has been paid by the Proposed Purchasers. The remaining balance amount of the total consideration shall be paid by the PROPOSED PURCHASERS to the PROPOSED VENDORS at the time of registration of the sale deed. (Receipt of advance of Rs. 00,00,000/- is admitted, acknowledged and confirmed by the PROPOSED PURCHASER). 
  2. That the PROPOSED VENDOR shall clear all the Revenue(s), and Taxes in respect of the said land before obtaining Sale Permission(s) from the concerned authorities, to effect the registration of Sale.
  3. That the PROPOSED VENDOR shall obtain the necessary sale permission of the aforesaid plot of land from the concerned authorities, if any is required at his own cost, and the PROPOSED PURCHASER shall bear all expenses towards stamp duty and registration of the said land in his favour, the PROPOSED PURCHASER hereby further undertakes to get the sale deed registered and make the payment of balance consideration within five months’ time from the date of execution of this agreement of sale.
  4. That, it is agreed that the PROPOSED VENDOR shall execute and register the SALE DEED in favour of the PROPOSED PURCHASER in respect of the said land, after obtaining necessary Sale Permissions from the concerned authorities, if any required for that aforesaid purpose.
  5. That, the PROPOSED VENDOR shall not enter into any agreement with any other person or persons in respect of the said land.
  6. That, the PROPOSED VENDOR hereby declares and confirms that the said land is free from all encumbrances and charges.
  7. That the PROPOSED VENDOR hereby declares and confirms that any persons claiming under or through him shall not raise any dispute regarding the sale of the said land in favour of the PROPOSED PURCHASER, nor shall raise any dispute and claim what-so-ever regarding the consideration amount/sale proceeds proposed to be received and accepted by the PROPOSED VENDOR from the PROPOSED PURCHASER in respect of the said land.
  8. That, the PROPOSED VENDOR shall not enter into any other agreement for sale with another party after this Agreement for Sale is executed between the parties.
  9. That the PROPOSED VENDOR hereby declares and confirms that the PROPOSED PURCHASER of the said land, if deprived of any defect in Title and possession of the PROPOSED VENDOR, the PROPOSED VENDOR shall indemnify the PROPOSED PURCHASER to the extent of loss sustained by the PROPOSED PURCHASER. 
  10. That the PROPOSED VENDOR on execution of this Deed of Agreement for Sale, shall have no right or authority to create a charge or equitable mortgage or any other mode of encumbrance in respect of the aforesaid land. 
  11. That the PROPOSED VENDOR hereby declares and confirms that the property hereby proposed to be conveyed and transferred was/is never conveyed or transferred or otherwise kept encumbered in any manner in favour of anybody else. 
  12. That under any circumstances, this Deed of Agreement for Sale shall not be cancelled by either of the parties to this Agreement. 
  13. That, it is agreed that the PROPOSED PURCHASER shall bear all expenses towards the registration of the sale deed of the SAID LAND in their name or in the name of any third party or third parties that the PROPOSED PURCHASER may nominate and the PROPOSED VENDOR shall execute and register the SALE DEED in favour of the PROPOSED PURCHASER or any other third party(s) nominated by the PROPOSED PURCHASER, after obtaining necessary Sale permission for the same.
